The Miss Shifters Bylaws - Revised March 2019


The name of the club shall be The Miss Shifters All Girls Car Club, Spokane Washington.

The purpose of this club: Miss Shifters is an all-female car club that brings women together for fun, friendship & good times. We are automotive enthusiasts, we love cars; new & old, we love trucks, we love motorcycles, we are drag & road course racers & we educate, support & empower women in the classic car & motorsports arena.
A generous portion of our proceeds from our yearly car show are donated to a local animal rescue/non-profit.
We donate to & volunteer with other charities that are close to our hearts also.

The club shall be ‘NONPROFIT’ & shall be allowed a reasonable amount in its treasury for operating expenses & other club activities. This club reserves the right to have & acquire sponsors for support of all its events & activities.

Committee & volunteer duties are on a VOLUNTARY basis & are not monetarily compensated for by the club.

The by-laws will be periodically reviewed & updated by club officers & will be available to the entire club membership at any time. (On our website - link at the bottom of the “About” page.)


Membership dues are as follows: $40.00 yearly, due at the January meeting. 1st year supporters do not have to pay dues.

The officers of the club will deal with any member whose behavior has become disruptive & membership may be terminated (see Article III – Club Rules).


1. We host a car show, Broads & Rods on the 3rd Saturday in June every year & every member needs to be at this event, we need to set-up, tear down & work the event. Every member needs to procure at least one cash sponsor, cash sponsorship is $200.00 & is due at our March general meeting each year. CASH SPONSORS get their name/logo on our website, event t-shirt & event fliers. Each member also needs to get raffle prizes for the show. Raffle & gift certificate/card sponsors get their name on our website only. Your sponsor & raffle prizes are your responsibility, it is up to you to get the money & prizes to one of the board members.

2. Maintain a level of sobriety at our meetings & at all events we do, this includes representing us at the track. Having a beer in a koozie & being chill is one thing at a car show, acting loud & belligerent is an entirely different matter altogether. If you are wearing our gear, have our sign with your car or have our sticker on your car you are representing our club. Even if you are not at a club event if you are sporting our gear please don't act like an ass. We have a “three strikes you are out” policy.

3. RESPECT OTHER CLUB MEMBERS & THEIR FAMILIES. PERIOD. NO LEEWAY HERE. NONE. If you have an issue with another member it needs to be handled privately... at an appropriate place & time. If you feel you’d benefit from a mediator or some kind of board involvement contact the board member of your choice. We have a low tolerance for shit talking.

Our husbands & families are an extension of our club they are to be respected. As they are this extension of our club they also need to act accordingly. Remember we have a “three strikes you are out” policy.

4. Must attend 9 of our 12 monthly meetings. If you are a board member you can miss 2 of the 6 meetings a year.

5. Must attend half of all car shows we attend as a group. Must participate in half of all events we do as a group... ie: craft days, BBQ's, raffle basket making party, etc...

6. Purchase a $25.00 Miss Shifters sign for your car. Rachelle has them.

7. If you or someone in your family damages another members cars/possessions, you step up & get it fixed. You make it right.

8. PLEASE FOR THE LOVE OF PETE... RESPOND TO THE FACEBOOK INVITES... Going, Interested or Not Going... please choose one.

9. All monies received by the club for club participation, etc. at any event shall be deposited in the club account.

10. When we are out in public people know who we are, we stand out… we are loud, bold, funny & kinda wild. When you are in a room of people, they should know you are a Miss Shifter, but if you need a filter, please use one. We aren’t asking you to not be yourself. Just try to remember that we have an image & reputation to protect. We want to be role models for our younger members, our mini’s & women in general. Remember we have a “three strikes you are out” policy.


1. Members are expected to meet at agreed spots prior to shows ON TIME.

2. Cars must be clean inside & out during car shows.

3. All members must display club signs during car shows.


1. Meetings will start right around 6:30, give or take a couple of minutes, DO NOT get trashed before the meeting.
2. Please do not talk & have side conversations during the meeting, if you do this, you can leave. Write your questions down on your agenda & ask them at the appropriate time. We want to get through the agenda as fast as possible so that everyone can hang out, have a drink & socialize.
3. Board members will sit together at meetings & help to maintain order.


We have a two season supporter/prospect period. January to April you can request to become a supporter, the following season in January, you will need to find a full-fledged member to be your sponsor during your prospect period, once your prospect season is over you are considered a full-fledged member.

Once you have been a full-fledged member for two years you will be eligible for a club jacket.

During the supporter/prospect period you must follow all Miss Shifters rules

We will have Miss Shifters Supporter/Prospect shirts available for purchase if you would like one. You can wear our normal gear once you are a full-fledged member.

** Family & work always come first, so if you cannot make it to an event & you are close to missing the required number of events, call or message a board member.

** Regarding the “Three strikes you are out” policy… your first strike is a verbal warning, your second is a meeting with the board & the third you are out. All board decisions are final.


Meetings shall be held on the 2nd Wednesday of each month at  ****** at 6:30.
The club president or her designee shall preside over all club meetings. Club officers present at each meeting shall maintain order at the meetings.


The control of the club shall be vested in its board officers.

Any member (not a prospect) may make a motion, & then must be seconded by another member before it can be presented to the board for a vote by the board. A majority vote of the board officers will be necessary for a motion to pass.


The officers of the club & their duties are described in Article VII – Duties.

Eligibility will be limited to members who have been in the club for two or more years, are very active in the club & are next in line in club seniority after someone leaves the board. The board may vote to replace the officer leaving or work with a smaller number of officers.

Officers may hold the same office with no term limits.

Officers will meet six times throughout the year & as needed to discuss club business, events, etc. For any officer decision, including but not limited to, event scheduling, disputes, etc., the majority vote of the officers will stand as the final decision.

Officers may be removed by the board with a majority vote of the board.


The chairwomen of the clubs committees & their duties are described in Article VII – Duties.

Committees will be formed throughout the year to run various club activities. These committees usually include, but are not limited to volunteer club members who have an interest in or knowledge of the activity for which that committee formed.

Committee members will meet as needed to discuss activity or event issues. As with the officers, a majority vote of the committee shall stand & in settling disputes, rescheduling of events, activities during the events, & rules for the events that do not override the club membership Rules stated herein. That final decision shall then be presented to the club officers for authorization.

Financial decisions shall not be enacted until voted upon & passed by club officers.

In the event of the loss of a committee member who cannot fulfill their duties, committee members will ask for a volunteer to fill that position.



- Shall attend every meeting
- Shall approve all committees
- President/VP shall co-sign all checks with Treasurer in the amount of $200 or more
- Shall prepare agenda with Secretary for all board & general meetings
- Coordinate with any media outlets, ie: new, radio, print
- Schedule all group events with board officers
- Post agenda to main group day after meeting so any absentees can see it
- Maintain main website
- Maintain Instagram
- Maintain Facebook (with a Volunteer)
- President may make purchases in amounts less than $200 once approved by the board
- Makes sure yearly taxes are filed (with Joey)
- Shall maintain up to date member roster

Vice President

- In the absence of the President, VP shall perform duties & exercise the powers of the President
- Shall oversee all guest speakers (15 minute maximum)
- Make sure banner & stands get to all events


- Shall be custodian of club records
- Keep minutes of all board & general meetings
- Help President prepare agenda before all board & general meetings
- Post meeting notes after board & general meeting to each Facebooks group
- Makes sure our trademark is up to date with Washington state
- Business Licenses up to date


- Shall be responsible for membership dues & all other fees receivable
- Shall keep accurate financial records
- Treasurers records shall be subject to annual audit
- Audits, bills & reimbursements shall be submitted to Treasurer for approval for the board for payment
- Treasurer alone may sign checks in amounts less than $200

Event Chairman

- Schedule monthly club events by the 15th of the prior month (make Facebook event)
- Post to private page a list of each months events on the 1st of the month

Road Captain/INCCC Liaison

- Coordinates all meets before car shows
- Plans all out of town car shows ie: plan routes, gas stations, have extra gas, etc…
- Reports back to entire club about anything important from the INCCC meetings

New Member Liaison

- Assist new supporters/prospects with rules & regulations
- Be like the “Welcome Wagon” for our new ladies


Non-Profit Committee

- Makes sure all of our non-profit paperwork is up to date (federal & state)
- Makes sure our GuideStar listing is up to date
- Sets up & maintains Amazon smile, Facebook non-profit & Google non-profit accounts

Van Committee

- All things van related.

Volunteer Event Committee
- Plans & organizes with the help of a board officer a monthly or bi-monthly act we do as a club for a charity, whether it be donating our time, money or material goods.


All club equipment, papers, pictures, records, etc. shall remain the property of The Miss Shifters All Girls Car Club, Spokane, Washington, & be inventoried annually. Current inventory (March 2019) includes two ez-ups, three 6ft plastic tables, two banners, two 12 ft flags a 1987 Dodge Ram Van & other small misc. items.

All club membership records shall be held confidential & accessible only to the club officers. Requests for said information must be made directly to a club officer & will not be released without approval of the members involved.


All persons or corporations extending credit to, contracting with, or having any claim against the club or officers shall look only to the funds & property of the club for payment, for any such contract or claim for payment of any debt, damage, judgment or any other money that otherwise becomes due or payable to them from the club, so that neither the members of the club, nor its officers (past, present or future) shall be liable personally thereof.


The club shall not be held liable for any loss or damage due to fire, theft, weather, vandalism, or accidents at any function that the club attends or hosts.
These by-laws have been adopted by the appointed officers & voted on by said officers of the Miss Shifters All Girls Car Club, P O Box 9715, Spokane, WA 99209, on March 18th, 2019.
